How we Help our Clients
Office of Government Commerce
The OGC is the executive arm of the UK Government that manages all public sector procurement of IT and ICT systems and services. Julian acted for OGC from 1991 – 2002 while he was based in London and was involved in numerous high profile IT / ICT projects, including multi-million pound PFI / PPP projects for the Ministry of Defence and Department of Education. These projects necessarily involved managing a cross-section of legal, regulatory and commercial issues, including: public procurement law, contract negotiation and drafting, competition / anti-trust compliance, IT and IP law.
Cadence Inc
Julian has acted for many years for this major Silicon Valley software company that specialises in EDA technology. Its many customers include a “who’s who” of the world’s IT and ICT companies, most recently in connection with the development of their 3G networks. His work with Cadence has taken him to most countries of the EU, from Moscow to Madrid and from Rome to Dublin.
Infosys Technologies Ltd
Infosys is the largest Indian IT company on NASDAQ and Julian has joined its team of external legal counsel. His experience is drawn on by Infosys in a number of areas, including negotiating the IT contracts with its ASX-listed “top-tier” customers and managing its acquisition of an Australian IT company.
Origin
One of Julian’s most challenging projects with Origin (now AtosOrigin) was to negotiate and draft the US$750 million joint venture contract with Origin’s local partner in Saudi Arabia as part of implementing an ERM (SAP R/3) project for Saudi Aramco. The project involved the establishment and subsequent acquisition of the JV partner (as well as the small matter of the contract with the customer).
The Government of Nepal
Julian worked with the Government of Nepal in connection with its accession to the World Trade Organisation (WTO). Commissioned by AusAID, Julian spent two months in Kathmandu undertaking an audit of Nepal’s intellectual property laws to ensure compliance with the WTO’s TRIPs Agreement.
Singapore Airlines
As part of SAL’s preparation for the launch of the A380, we were involved in both training its IT contract management executives as well as assisting SAL to develop a suite of standard contracts for the vast range of IT / ICT projects that SAL was (and still is) managing.
Sema
While based in Hong Kong, Julian was engaged to negotiate and draft the outsourcing contract under which Standard Chartered Bank transferred its IT operations in HK, Singapore and Malaysia to Sema. The project was challenging because of the wide distribution of the IT infrastructure and the country-specific business needs of the customer’s user community.
Citech Research Pty Ltd
Citech is a pioneering IT company based in South Australia that has developed “human telemetry” – think Formula 1 racing cars relaying critical performance information back to the pits and apply that to sportsmen and women. The technology is being further enhanced with the application of nanotechnology and “angel” investors have provided the funding. Strong patents are the core IP and we are now working on licensing deals with the governing bodies of various sporting codes, individual clubs / franchises and broadcasters.
BoxSentry Pte Ltd
Artificial intelligence and “fuzzy logic” enters the anti-virus and anti-spam market with the added advantage of providing protection across all languages and character sets. Now based in Singapore, BoxSentry has appointed channel partners throughout Asia and we have been working with them since 2005 to commercialise their patented technology.
MCC / Lords
Following the success of the 2005 ASHES series in England, the MCC / Lords appointed us to manage its merchandising, branding and IP protection strategies in Australia during the ASHES tour in 2006 / 2007. More generally, the MCC’s trade mark portfolio is an increasingly valuable asset of the grand old cricket club, including its “house brand” LORDS – THE HOME OF CRICKET. Julian was thrilled to be part of the excitement, on and off the field.
Genix Ventures
Genix has developed classic information technology to support biotech and pharmaceutical companies that are involved in the time and document-hungry Clinical Trial procedure. Initially we helped Genix to complete a successful two-stage capital raising (involving both onshore and offshore funding). Our ongoing task is to assist Genix to commercialise its technology and to manage and protect its valuable IP portfolio.
Industrial Design Ltd
IDL, an English company, developed a board process and governance methodology before “governance” became the key word of the 21st Century. Recently we managed the complete restructuring of the company, including the establishment of an off-shore entity in Cyprus as well the selective transfer and licensing of its IP assets in order to better manage its tax exposure. IDL has recently won significant contracts in Australia with ASX-listed customers and we continue to look after its legal affairs.
Design Assist Partners
As part of a sponsorship of the RMIT Business Plan Competition, the largest of its kind in Australia, Julian helps foster new talent to emerge in the business world. Through that commitment, Julian supported start-up company and competition winner DAP to secure new business opportunities in China. To assist DAP with their commercialisation, we advised on their critical supplier selection phase and on the legal vehicles to protect their, and their clients’, intellectual property. This was done while treading carefully through the various business structures and working relationships in the PRC.
“There are plenty of pitfalls to be aware of when dealing with China but, with Julian’s help, our experience was quite a different one. Julian’s experience and services were a great windfall for our company,”
Justin McCarthy, Director of DAP.
Geeks2U Pty Ltd
The distinctive Geeks2U cars are now familiar in many parts of Australia with the company’s expanding team of “geeks” helping to service and repair IT equipment on a call out, to-the-door, basis. We have grown with Geeks2U over the last 8 years and it’s been very rewarding to watch a small business, and a young entrepreneur at the helm, succeed so well in a competitive market.
“Julian has been our solicitor for over four years now since we very first started Geeks2U and we consider him an integral part of our team – I think we feel this way mainly because Julian always acts for our interests as though they were his own. He has played a crucial role in the development of our business with everything from drafting contracts and terms of business to advising and representing us on intellectual property issues; not to mention a number of varying commercial matters that have arisen during the course of business. Julian’s knowledge and expertise in such a broad range of areas never ceases to amaze me as I keep testing the limits and he keeps delivering time and time again. What I appreciate most is that Julian provides the quality and expertise of a big firm with a personal touch and at a cost you won’t find anywhere else – an outstanding value proposition really.”
David Hancock, Founder and CEO, Geeks2U Pty Ltd.
